Overview#
These Partner Terms apply to a business or organisation (a "Partner") that Bynefit has accepted into the Bynefit partner program. A Partner runs part of its business on Bynefit services, such as its websites, event data, sign-in, embeds and referrals, and manages that connection from a partner console. "Bynefit," "we," "us" and "our" mean.
These terms sit alongside the signed Partner Agreement for each Partner, which records the Partner's legal name, the person who signed, the agreement version and the date it was accepted. The Partner Agreement, any mutual NDA or MOU the parties signed, and these Partner Terms together are "the Partner Documents." A Partner is also a Bynefit user and is bound by the Terms of Service, the Community Guidelines and the Privacy Policy.
These terms are different from the Practice and Third-Party Provider Terms, which cover a business that provides services to other Spaces or people through Bynefit, such as a Business Setup fulfilment partner. A Partner may also be a provider, and in that case both documents apply.
Joining and Going Live#
- A business can apply at the public partner application page. Applying does not make a business a Partner. Bynefit staff review each application and may accept or decline it without giving a reason.
- A Partner's program status is draft, live or paused. A program cannot be switched live until Bynefit has recorded the agreement version, the contracting entity, the referral credit decision, at least one registered website, a linked Space and at least one registered event.
- The Partner must give accurate legal and contact details and keep them current. The person who signs must have authority to bind the Partner.
Your Partner Space and Console#
A Partner is linked to a Space on Bynefit. Its admins and managers can use the partner console to register websites and events, create and rotate keys, change how long event data is kept, ask Bynefit for new capabilities or for access that needs review, and view referral and credit information. The Partner is responsible for everything done by the people it gives those roles to, and for removing access when a person leaves.
- Keys. The partner key identifies the Partner and is not a secret. The signing secret and any API token are confidential. Keep them out of public code and out of browsers. Tell us promptly if one may have leaked, and rotate it. Bynefit may rotate or revoke a key for security reasons.
- Websites. Only websites the Partner controls may be registered. A browser origin that is registered can send events from visitors to that website. The Partner must not register a website it does not control.
- Limits. Requests are rate limited and size limited as described in the console. Do not try to get around a limit, probe the service, or send traffic meant to disrupt it.
- Capabilities. The console lists each capability as Available, By approval or Planned. A Planned item is not a promise to build it or to build it by any date.
Referral Links and Invitations#
Partner link#
When Bynefit has switched on business onboarding for a Partner and the Partner is not paused, the Partner has a referral link of the form bynefit.com/via/code. A visitor who opens it receives a first-party cookie that names the Partner and lasts 180 days, unless the visitor chooses to forget the link. The visitor sees a notice naming the Partner and can forget the link at any time.
Attribution#
- A business Space is attributed to a Partner when the Space is created while the cookie is present, when the Partner's own app supplies the Partner code, or when an invited owner claims a Partner invitation. The first Partner to be attributed keeps the attribution ("first touch wins").
- Attribution is ignored if the code is unknown, the Partner is paused, the Space is the Partner's own, or the creator is an active member of the Partner's Space. Spaces created by Bynefit staff or through other channels are not attributed.
- The owner of an attributed Space can see who referred them and can detach the Partner at any time. A detached Space, and a staff test, earns no further credit and is not re-attributed.
- The Partner sees only limited facts about a business it referred, such as its name, the Partner's own reference, its status and whether a Space, site, domain or paid plan exists. The Partner does not see the owner's address, phone, members, content or payments, and must not try to find them out.
Invitations#
If Bynefit enables it, a Partner can invite a business owner by API or from the console. The invitation is emailed only to the address the Partner gives and contains a single-use claim link. The Partner must have a legitimate relationship with the person it invites, must not invite people who have asked not to be contacted, and must not use purchased, scraped or guessed addresses. Bynefit limits invitations per minute, per day and per address, may refuse an address, and lets an invited person say "this was not me." After that, no Partner may invite that address again. An unclaimed invitation expires and the address is cleared after a set number of days.
Referral Credit#
- Who sets it. Bynefit sets each Partner's credit rate, and the period after attribution in which orders can still earn credit, in writing and on the Partner's record. A rate can be zero.
- What earns credit. Credit is a percentage of the cash actually paid by an attributed Space for plan and add-on orders, counting service and discount lines only. State and government fees, pass-through amounts and processing fees are excluded.
- What does not earn credit. Anything paid from account credit or gifted credit, free or fully discounted orders, per-person store purchases, domains, phone numbers, messaging registration, messaging bundles, storage overage, member dues, tickets and tips. Bynefit may add categories later and will say so.
- Timing. A new rate applies only to orders paid after it takes effect. Orders paid before attribution, or after the credit period ends, earn nothing. An order paid by an active member of the Partner's own Space earns nothing.
- Refunds and disputes. Credit on a refunded order is cancelled, or reduced in proportion for a partial refund. If credit was already paid, it may be netted against later amounts.
- Payment. Credit becomes payable only after a hold period after the order was paid, and is paid on a schedule and by a method Bynefit sets, after staff approval.
- Customer price. Referral credit is paid out of Bynefit's share. It never raises the price a referred business pays. A referred business may receive a plan discount that Bynefit sets, and that discount comes out of the same share, so credit on a discounted order is smaller.
- No guarantee. Bynefit does not promise any volume of referrals, orders or credit.
Honest Promotion#
The Partner must describe Bynefit services accurately, must not promise results, and must not describe Bynefit services as legal, tax or financial advice or tell anyone which entity type or state to choose. Where the Partner can receive credit, the Partner must disclose that clearly to the people it refers, in the way the FTC endorsement rules and other applicable law require. The Partner must follow the laws that apply to its own marketing, including email and text messaging rules, and must not send unsolicited messages on Bynefit's behalf.
Event Data and Privacy#
- What the Partner may send. Only events and properties registered in the console. Property names that would carry personal data are refused. The Partner must not put email addresses, names, phone numbers, precise location, health, financial account or government identifier data, or data about children under 13, in an event.
- Identifiers. A person or session reference must be pseudonymous. It must not be an email address.
- Visitor privacy. The Partner is responsible for its own privacy notice and for any consent the law requires for what it collects on its websites and apps, including app store privacy disclosures. The Partner records the version of the notice it shows its users on its Partner record.
- How Bynefit uses event data. Bynefit stores events to provide the Partner's reports and to keep the service secure. Bynefit counts events by type across Partners for platform statistics, using only registered event types, and does not sell event data or use it to build advertising profiles.
- Retention and deletion. The Partner chooses how long its events are kept from the listed periods. A visitor IP address, where stored, is stored only as a keyed hash and removed after 30 days. The Partner's manager or owner can schedule deletion of all of the Partner's event data, which runs after a short delay and can be cancelled before it runs. Bynefit deletes event data at the end of the agreement if asked.
- Sign in with Bynefit. If the Partner uses Bynefit sign-in, it receives only the information a person agrees to share on the consent screen, must follow the registered return addresses and client-name rules, and must handle that information under its own privacy notice.
- Security incidents. Each party must tell the other without undue delay after confirming a security incident that affects the other's data within 24 calendar hours.
Promotions to Businesses#
A Partner may send a promotion post to a business it referred. The business owner approves, edits or rejects it first, unless the owner has chosen to publish automatically or to switch promotions off. A published promotion is labelled as promoted by the Partner. Promotions are plain text, may carry only a link to a registered Partner website, are limited in number, must be accurate and lawful, and must follow the Community Guidelines. Promotions cost nothing and earn no credit.
Brand and Content#
The Partner may use the Bynefit brand kit only as provided and unaltered, and only to show the relationship, not to suggest more than it is. Bynefit may show the Partner's name and logo on its landing page and referral banner for that Partner, and the Partner grants Bynefit a limited licence to do so. The Partner may not register domain names, social accounts or app names that use the Bynefit marks. Each party keeps its own intellectual property.
Pausing, Suspension and Ending#
- Bynefit may pause a Partner at any time for security, legal or conduct reasons or for breach of the Partner Documents. While paused, the console is read-only, no new attribution or invitation happens, and credit that already accrued stays on record.
- Either party may end the relationship by written notice under the Partner Agreement.
- When it ends, the Partner's keys stop working, the referral link stops attributing, and credit already earned and payable is settled under the credit section. Businesses that already joined keep their accounts under their own terms with Bynefit.
Independent Relationship#
The Partner is independent. Nothing makes the Partner an agent, employee, franchisee, joint venturer or legal representative of Bynefit, or Bynefit the Partner's. The Partner cannot bind Bynefit, make promises on its behalf or accept payments for it. Neither party is exclusive. A business a Partner refers contracts with Bynefit, and with any named provider, directly and not with the Partner.
Changes to These Terms#
Bynefit may update these Partner Terms. Material changes will be sent to the Partner's leaders by email and shown in the partner console at least [14] days before they take effect. A change to a Partner's credit rate applies only to orders paid after the change takes effect, as recorded on the Partner's record. If the Partner does not agree, it can stop using the program before the change takes effect.
